Terms of Service

These terms form an agreement between you (and the organisation you represent) and Buildra Systems Ltd for use of the Buildra platform. Please read them carefully — by using Buildra you agree to them.

Acceptance

By creating an account, accessing or using the Buildra platform, you agree to these Terms of Service and to our Privacy Policy and Evidence Policy. If you accept on behalf of an organisation, you confirm you are authorised to bind it. If you do not agree, do not use the service.

Definitions

  • "Service" — the Buildra applications, websites and APIs.
  • "Customer" — the organisation that subscribes to the Service.
  • "User" — an individual authorised by the Customer to use the Service under a seat.
  • "Content" — data, photos, videos, reports and other material submitted to the Service.
  • "Evidence" — Content that has been sealed to a write-once record with its chain of custody.

Accounts & eligibility

You must provide accurate registration details and keep your credentials secure. You are responsible for activity under your account. You must be at least 18 years old and capable of entering a binding contract. Seats are licensed per named user and may not be shared.

Subscriptions & payment

The Service is offered on subscription plans priced per seat, billed in Tanzanian Shillings (TZS) unless we agree otherwise in writing. Fees are stated exclusive of applicable taxes (including VAT), which you are responsible for. Unless stated, subscriptions renew automatically for successive terms; you may cancel renewal before the next term begins.

  • Invoices are due on the date shown. Late amounts may attract interest at the rate permitted by Tanzanian law.
  • Trial plans are provided as-is and may be changed or ended at our discretion.
  • Except where required by law, fees are non-refundable once a billing period has begun.

Acceptable use

You agree not to:

  • break the law or infringe others' rights when using the Service;
  • upload content you have no right to capture or share, or that is unlawful;
  • attempt to defeat the sealing, chain-of-custody or security controls;
  • reverse engineer, resell or provide the Service to third parties except as permitted;
  • introduce malware, or place an unreasonable load on our infrastructure.

Your content & evidence

As between you and Buildra, the Customer owns its Content. You grant us a limited licence to host, process, transmit and display Content solely to provide the Service, and to seal Evidence and reproduce it as part of reports and exports you request. You are responsible for the accuracy and lawfulness of Content and for obtaining any necessary consents from people who appear in it.

Immutability

A core feature of the Service is that sealed Evidence cannot be edited or deleted on demand. You acknowledge this is intentional and that you are responsible for what you choose to seal. Handling of any request that affects sealed records is described in the Evidence Policy.

Availability

We aim for high availability (targeting 99.9% monthly uptime, excluding scheduled maintenance and events beyond our control) and work to restore service quickly after any disruption. Specific service levels, if any, are set out in your order or a separate service-level agreement.

Intellectual property

Buildra and its licensors own all rights in the Service, including software, design and trademarks. Nothing in these terms transfers those rights to you. Feedback you give us may be used to improve the Service without obligation to you.

Confidentiality

Each party may receive confidential information from the other. The receiving party will protect it with reasonable care, use it only to perform under these terms, and not disclose it except to those who need it and are bound by similar obligations, or where disclosure is required by law.

Warranties & disclaimers

We provide the Service with reasonable skill and care. Except as expressly stated, and to the maximum extent permitted by law, the Service is provided "as is" without other warranties, whether express or implied. We do not warrant that the Service will be uninterrupted or error-free, or that Evidence will be accepted in any particular proceeding — admissibility is ultimately a matter for the relevant court or tribunal.

Limitation of liability

To the maximum extent permitted by Tanzanian law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue or data. Our total aggregate liability arising out of or related to the Service is limited to the fees paid by the Customer for the Service in the twelve (12) months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.

Indemnity

You will indemnify Buildra against third-party claims arising from your Content, your use of the Service in breach of these terms, or your breach of law, except to the extent caused by Buildra.

Term & termination

These terms apply while you use the Service. Either party may terminate for material breach not cured within 30 days of notice. On termination, your right to use the Service ends. We will make Customer Content and sealed Evidence available for export for a reasonable period as described in your plan, after which we may delete it in line with our Privacy Policy and retention terms.

Governing law & disputes

These terms are governed by the laws of the United Republic of Tanzania. The parties will first try to resolve disputes in good faith. Failing that, disputes will be submitted to arbitration in Dar es Salaam under the Arbitration Act, 2020, conducted in English by a sole arbitrator, unless the parties agree otherwise. Nothing prevents either party from seeking urgent interim relief from the courts of Tanzania.

Changes to these terms

We may update these terms. When changes are material we will update the date above and notify you where appropriate. Continued use after an update means you accept the revised terms.
